This Vendor Agreement (“Agreement”) is entered into between ProChek1 Vision X Marketplace (“Marketplace”), operated by ProChek1 Vision X, and the registered vendor (“Vendor”). By registering and listing products on ProChek1 Vision X Marketplace, the Vendor agrees to the following terms:
1.1 Vendors must provide accurate business information, including legal entity name, tax identification number, and valid contact details. 1.2 Vendors must comply with all local, state, and international regulations for selling their products. 1.3 ProChek1 Vision X reserves the right to approve or reject vendor applications at its discretion. 1.4 Vendors must be a registered business in their country and state and provide certified business documents as proof of registration. 1.5 Vendors must submit valid photo identification for verification purposes before being approved to sell on the Marketplace.
2.1 Vendors may only list authentic, high-quality eyewear products, including smart glasses, frames, and accessories. 2.2 All product listings must include accurate descriptions, pricing, images, and specifications. 2.3 ProChek1 Vision X has the right to remove any listing that violates quality standards, misrepresents a product, or contains misleading claims. 2.4 Minimum Selling Price Requirement: All smart glasses listed on the Marketplace must have a minimum selling price of $190.00 USD to ensure coverage under the 3-year warranty policy. Any listings below this price will be subject to removal. 2.5 Product Condition & Certification: All products sold on the Marketplace must be new and unused and must include operating instructions. Additionally, all products must meet and comply with certification standards such as FDA, CE, RoHS, and FCC.
3.0 One-Time Account Setup Fee: Vendors are required to pay a non-refundable one-time account setup fee of $500.00 upon registration. 3.1 Initial Vendor Promotion:
Social media or email marketing promotions: $650.
4.1 Vendors must fulfill orders within 2-5 business days from the order date. 4.2 ProChek1 Vision X will deduct its commission and applicable fees directly from the vendor’s linked bank account immediately upon each successful sale transaction. 4.3 Vendors will receive the remaining balance of the sale proceeds after the commission and fees have been deducted, as per the payment method on file.
5.1 Vendors are responsible for collecting, reporting, and remitting all applicable taxes, including sales tax, VAT, shipping costs, and customs duties. 5.2 Vendors may use TaxJar or WooCommerce tax automation tools for accurate tax collection. 5.3 ProChek1 Vision X does not assume responsibility for any tax liabilities related to vendor sales.
6.1 Vendors are responsible for setting their own shipping rates and choosing preferred carriers (UPS, FedEx, DHL, USPS, etc.). 6.2 Vendors must provide tracking information for all shipped orders. 6.3 If a vendor fails to fulfill an order within the required timeframe, the Marketplace reserves the right to issue a refund to the buyer and deduct the refund amount directly from the vendor’s linked bank account.
7.1 Vendors must have a clear return and refund policy listed in their vendor dashboard. 7.2 Vendors must process refunds for defective or incorrect items within 5 business days** of the claim. 7.3 ProChek1 Vision X may mediate disputes between buyers and vendors, but vendors are ultimately responsible for resolution.
8.1 ProChek1 Vision X provides a 3-year limited warranty on smart glasses sold through the Marketplace. 8.2 Warranty covers manufacturer defects, product failures, and material faults but excludes accidental damage, wear and tear, and unauthorized repairs. 8.3 Vendors must comply with the warranty claim process outlined by ProChek1 Vision X:
9.1 Vendors must have the legal right to sell and distribute all listed products. 9.2 Vendors grant ProChek1 Vision X the right to use product images and descriptions for promotional purposes. 9.3 Vendors must not infringe on third-party copyrights or trademarks.
10.1 ProChek1 Vision X reserves the right to suspend or terminate vendor accounts for the following reasons:
11.1 ProChek1 Vision X is not liable for any loss, damages, or disputes arising from vendor transactions. 11.2 Vendors agree to indemnify and hold harmless ProChek1 Vision X from any legal claims or liabilities related to their products.
By registering as a vendor on ProChek1 Vision X Marketplace, the Vendor agrees to comply with the terms of this agreement and acknowledges that ProChek1 Vision X may update these terms as needed.
📌 ProChek1 Vision X reserves the right to modify this agreement at any time. Continued use of the Marketplace signifies acceptance of updated terms.
